1. Services Provided
a) Professional services shall consist of consulting with the Client to determine the scope of work; preparing the necessary preliminary estimates; preparing working drawings and specifications; and consulting with engineers or other specialist consultants. My Idea Shed ltd. shall make no material alteration or addition or omission from the approved design during construction without the knowledge and consent of the Client but shall inform the Client without delay and subsequently confirm in writing.
b) All work carried out, whether experimentally or otherwise, will be charged. This includes all the consultation appointments. All verbal instructions from a contract as defined within the Housing Grants, Construction and Regeneration Act 1996.
c) In respect of services when are provided on a time basis during normal office hours, (excluding disbursements), the client shall pay: Director £55.00 per hour and Architectural Assistant/Auto CAD technician/ Interior Designer £40.00 per hour
d) If, after a definite scheme has been approved, the Client makes a decision which for its proper execution involves extra services or expenses for changes or addiction to the studies, drawings, specification, etc., the Client will pay My Idea Shed ltd for such extra services on an hourly basis as outlined in c) above.
e) My Idea Shed ltd cannot guarantee that legal statutory approvals including Planning Permissions or Building Control will be granted.
f) Any application or submission for Phase 1 to 4 which are subsequently resubmitted will be charged on a time basis as defined in c) above. Although very minor alterations to attain permissions in consultation with the statutory authorities is considered within our fees (definition of minor – where description and scope of the works does not change). Client design changes are chargeable as per 1c).
g) Should work be suspended at the request of, delayed or cancelled through any default of the Client, My Idea Shed ltd shall then be entitled to and shall be paid fees for all services provided to that time. Termination of the engagement shall be without prejudice to the accrued right and remedies of either party.
h) Unless otherwise stated, Stage 1, Survey and General Layout, allows for 1 site visit and any additional visits will be charged on a time basis, including travelling time , in accordance with the Terms and Conditions.
i) If, a Client decides not to use any of the designs, and therefore no one scheme is finalised, then the client shall be liable for full payment of the quoted Stage 1 fee and any additional time as defined in 1.h) and 1. c) above.
2. Contractors/ Suppliers
a. My Idea Shed ltd will perform or procure such periodic inspections, as My Idea Shed ltd may consider appropriate. My Idea Shed ltd will endeavour to warn the Client against defects and deficiencies in the work of the contractor(s), but shall not have the responsibility for the failure of the contractor to comply with drawings, schedules, specifications or any latent defect in the work of the contractor(s).
b. All arrangements with the Contractors and/or Suppliers for the payment of services/goods provided must be between the client and the Contract/Supplier. My Idea Shed ltd is not responsible for settling clients’ outstanding accounts.
c. The Client has the assurances of My Idea Shed ltd that My Idea Shed ltd’s service shall be rendered in good faith and in a professional manner; but My Idea Shed ltd cannot be responsible for the performance, quality or timely completion of work by the contractor(s). Nor can My Idea Shed ltd be responsible for the guarantee of any material, or product specified against wearing, fading, soiling or latent defects.
3. Copyrights and Intellectual Property
a) All drawings, specifications and documents prepared by My Idea Shed ltd are instruments of service for the execution of the work on the project and are the intellectual property of My Idea Shed ltd exclusively, whether the work on the project is executed or not, and the said plan shall not be used on any other project My Idea Shed ltd prior written consent.
b) My Idea Shed ltd reserves the right to photograph their completed work and publish said images at their own discretion without the client’s consent or prior approval.
4. Disbursements and out of pocket expenses
a) My Idea Shed ltd shall maintain records of time spent on services performed on a time basis, expenses and disbursements.
b) All fees charged do not include VAT; My Idea Shed ltd is a non VAT registered company.
c) Disbursements, i.e. travel expenses, blue printing, photographs (for survey purposes),
reproduction charges, or other out-of–pocket expenses are chargeable. A full list of current disbursements is sent with each quotation letter, project terms of reference and each invoice and statement despatched and can be supplied upon request also.
5. Payments of Accounts and Chasing Outstanding Debts
a) Payments of services shall become due to My Idea Shed ltd upon submission of My Idea Shed ltd’s account and in accordance with the Housing Grants, Construction and Regeneration Act 1996. Invoices are payable by ‘due date’ indicated, not upon local authority application decision notices (Planning Permission, Building Control Approval etc.), or completion of building works.
b) My Idea Shed ltd reserves the right to request payment in advance upon production of a pro-forma invoice.
c) In accordance with the, Late Payment of Commercial Debts (Interest) Act 1998, Payments which are unpaid after the due date, will be subject to an interest charge of 5% above the base rate. Interest will be calculated from the invoice due date and late payment compensation will also be applied to cover the cost of chasing this debt.
d) Failure to pay an outstanding invoice will ultimately result in legal proceedings being brought in order to recover the outstanding debt.
e) Partial payments are unacceptable unless previously agreed. Interest will continue to be charged on unpaid balances after the ‘due date’ even though a partial payment may require payment in advance where the work involves third party costs.
f) If any invoice or part of an invoice issued by My Idea Shed ltd is disputed or subject to question by the Client, the payment by the Client for the remainder of the account shall not be with held on those grounds.
g) Any disputes should be brought to the attention of My Idea Shed ltd in writing and failure to do so will result in interest charges being added.
These conditions and all other expenses terms of the contract shall be governed and constructed in accordance with the laws of England. My Idea Shed ltd reserved the right to update these Terms and Conditions as and when they deem it necessary.
